PART I - WEBSITE TERMS OF USE

1. Agreement and definitions

"EAF," "we," "us," and "our" mean Epoch Company LLC, doing business as EAF Magazines. "Participant" means a website visitor, account holder, venue, advertiser, contributor, directory business, customer, representative, or other person using an EAF service. "Portal" means an authenticated EAF account interface. "Submitted Material" means text, photographs, video, audio, logos, trademarks, files, links, data, claims, and other content supplied to EAF.

The EAF website, associated domains, digital publications, portals, forms, directories, downloadable material, and online services are collectively the "Services."

Back to top ↑

2. Eligibility and authority

A Participant must be legally capable of entering the applicable agreement. A person acting for a business confirms authority to bind it. EAF may request reasonable identity, authority, legitimacy, licensing, or business documentation.

Back to top ↑

3. Accounts and credentials

Participants must provide accurate information, protect credentials, use only authorized accounts, and notify EAF promptly of suspected unauthorized access. Participants are responsible for activity performed through their credentials unless applicable law provides otherwise.

EAF may require email verification, multifactor authentication, updated legal acceptance, or other reasonable security steps.

Back to top ↑

4. Acceptable use

Participants may not:

  • access another person's account or nonpublic data;
  • bypass security, permissions, rate limits, or technical safeguards;
  • upload malware or harmful code;
  • scrape or automate access in a way that disrupts the Services;
  • impersonate another person or misrepresent authority;
  • submit unlawful, infringing, fraudulent, deceptive, harassing, hateful, or unsafe material;
  • use EAF content or systems to train a competing product without written permission; or
  • interfere with EAF operations or another Participant's use.
Back to top ↑

5. Website availability and changes

EAF may maintain, update, suspend, replace, or discontinue website features. EAF does not guarantee uninterrupted availability, compatibility with every device, or permanent retention of optional tools. Material contractual obligations remain governed by accepted documents.

Back to top ↑

6. Informational content

General articles, directory profiles, planning content, estimates, examples, and educational material are informational. They are not legal, tax, financial, medical, safety, insurance, or professional advice. Participants should use qualified professionals for those matters.

Back to top ↑

7. Third-party links and embedded services

Services may link to or embed Stripe, 17hats, Supabase, hosting, analytics, social, mapping, printing, delivery, and other third-party services. Those providers operate under their own terms and privacy practices. EAF is not responsible for an independent provider's acts, outages, security, or content, but will use reasonable care in selecting and configuring providers.

Back to top ↑

8. Enforcement

EAF may investigate suspected abuse and may restrict, suspend, preserve, or terminate access when reasonably necessary to protect the Services, EAF, Participants, third parties, or legal compliance. EAF may preserve evidence and cooperate with lawful requests.

PART II - PRIVACY POLICY

1. Scope and roles

This Privacy Policy describes information EAF collects and uses through the Services. It applies to Participants and visitors. A business submitting information about its staff, clients, couples, vendors, or representatives must have authority to do so and must provide any legally required notice.

Back to top ↑

2. Information collected

Depending on the relationship, EAF may collect:

  • name, title, business, email, telephone, address, and account identifiers;
  • authentication, role, account status, acceptance, signature, timestamp, IP address, and user-agent records;
  • venue, advertiser, directory, brand, pricing, package, policy, service, and preferred-vendor information;
  • photographs, logos, fonts, colors, files, captions, testimonials, promotions, links, QR destinations, and other Submitted Material;
  • placement, invoice, payment status, print-credit, transfer, renewal, cancellation, publication, and production records;
  • messages, support requests, proof comments, approvals, and administrative notes;
  • website, referral, device, browser, session, cookie, analytics, and security information; and
  • information from public business websites or authorized third-party sources used to help prepare profiles or Brand Kits.

EAF generally does not receive full payment-card details processed by Stripe.

Back to top ↑

3. Collection methods

EAF collects information directly from Participants, through portals and forms, from authorized representatives, through website and service operation, from payment and workflow providers, from cookies or analytics where permitted, and from public business sources used for authorized profile preparation.

Back to top ↑

4. Purposes of processing

EAF may use information to:

  • create and secure accounts;
  • verify venues, advertisers, representatives, and transactions;
  • prepare profiles, Brand Kits, advertisements, galleries, directories, and magazines;
  • process requests, invoices, payment status, placements, credits, transfers, renewals, and cancellations;
  • communicate, support, notify, and administer agreements;
  • publish authorized public content;
  • design, proof, print, distribute, archive, and promote publications;
  • improve Services, analyze performance, detect abuse, maintain security, and keep records;
  • comply with law, protect rights, resolve disputes, and enforce agreements; and
  • perform other disclosed or reasonably compatible business purposes.
Back to top ↑

5. Information intended for publication

Business names, descriptions, contact information, websites, social links, pricing, photographs, logos, offers, directory content, advertisements, gallery content, venue information, and similar Submitted Material may be intended for public publication. Participants should not submit private personal information for public fields.

Removal from a current page may not remove lawful archival copies, printed material, backups, search-engine caches, third-party shares, or previously distributed editions.

Back to top ↑

6. Cookies, analytics, and browser controls

EAF may use necessary cookies for authentication, security, preferences, and service delivery. EAF may use analytics or marketing technologies where permitted and will provide legally required choices or disclosures. Browser settings may block some technologies but can affect functionality.

EAF will honor legally required universal opt-out signals where applicable. A browser's general Do Not Track setting may not have a uniform legal meaning.

Back to top ↑

7. Payment processing

Stripe or another disclosed processor may collect and process payment and billing information. EAF may receive customer identifiers, invoice status, transaction amount, payment status, fraud indicators, and limited payment-method details.

Back to top ↑

8. Artificial intelligence and automated tools

EAF may use artificial intelligence and automated tools for drafting, editing, proofreading, research organization, website scanning, image enhancement or generation, background removal, graphics, layout planning, metadata, support, marketing, fraud detection, and workflow administration.

EAF will use reasonable human review for material publication content when practical. Participants must review facts, claims, prices, policies, spellings, likenesses, and approvals. EAF will not intentionally use confidential Submitted Material to train a public model unless disclosed and authorized.

Back to top ↑

9. Disclosure of information

EAF may disclose information to:

  • hosting, storage, email, payment, form, analytics, design, printing, delivery, security, and professional-service providers;
  • authorized team members and contractors with a business need;
  • Participants when needed to operate an accepted program;
  • a buyer, successor, lender, insurer, or adviser in a legitimate business transaction, subject to appropriate protections;
  • authorities or third parties when required by law or reasonably necessary to protect rights, safety, security, or prevent fraud; and
  • others with the Participant's direction or consent.

EAF does not sell private portal credentials or full payment-card information.

Back to top ↑

10. Marketing communications

EAF may send operational and transactional messages concerning accounts, agreements, proofs, deadlines, placements, credits, invoices, publication, and security. Those messages are not optional marketing.

Marketing email may be unsubscribed through the provided method. Telephone and text communications require any consent required by law. An opt-out from marketing does not cancel a contract or stop necessary service notices.

Back to top ↑

11. Sensitive data and children

The Services are primarily business services and are not directed to children under 13. Participants should not submit sensitive personal data unless necessary, authorized, and requested through an appropriate secure method.

Back to top ↑

12. Retention and security

EAF retains information for the relationship, production and archive needs, legal obligations, dispute periods, accounting, security, backups, and legitimate business purposes. Published legal versions, acceptance records, credit ledgers, and production history may be retained long term because they evidence contractual performance.

EAF uses reasonable administrative, technical, and organizational safeguards. No system is perfectly secure. Participants should use unique credentials and report concerns promptly.

Back to top ↑

13. Privacy rights and requests

Depending on applicable law and residence, a person may have rights to access, correct, delete, obtain, restrict, or opt out of certain processing. Rights may be limited by legal exceptions, business records, publication, free-expression interests, security, fraud prevention, contractual necessity, or another person's rights.

Requests may be sent to adam@eafmagazines.com. EAF may verify identity, authority, account ownership, and request scope. Authorized-agent requests require proof of authority. EAF will provide any required appeal method.

Back to top ↑

14. Updates and contact

EAF may update this Privacy Policy as part of a new Legal Handbook version. When acceptance is legally or contractually required, protected portal actions may pause until the current version is accepted.

Privacy contact: adam@eafmagazines.com.

PART III - GENERAL CONTRACT AND BUSINESS POLICIES

1. Good faith and accuracy

Participants will act in good faith, provide accurate information, correct known material errors, and cooperate reasonably. EAF may rely on information and authority supplied by a Participant or its apparent authorized representative.

Back to top ↑

2. Communications and representatives

Participants must maintain current contact information. Notices sent to an authorized representative or account address may be relied upon unless EAF receives a valid update. Routine portal and email messages may communicate deadlines, approvals, requests, and account status.

Back to top ↑

3. Deadlines and cooperation

Deadlines protect coordinated design, advertising, publication, and printing. Material received after a deadline may be deferred, excluded, published digitally only, or included in a later cycle. EAF may accommodate late material but is not obligated to do so.

Back to top ↑

4. Electronic records and signatures

Participants consent to electronic records and signatures. A typed name, affirmative checkbox, Sign and Accept action, accepted proposal, accepted placement order, or another disclosed electronic act may evidence agreement.

EAF may retain document ID, version, title, effective date, content hash, snapshot, signer identity, title, business identity, authenticated user, timestamp, IP address, user agent, acceptance method, and countersignature evidence.

An electronic record or signature is not denied effect solely because it is electronic. Participants may save or print accepted documents through provided tools.

Back to top ↑

5. Editorial independence and brand protection

EAF retains reasonable editorial, design, technical, safety, legal, and brand-control authority. EAF may reject or revise material that is unlawful, misleading, unsubstantiated, infringing, discriminatory, unsafe, incompatible, technically deficient, or materially harmful.

Back to top ↑

6. Force majeure

Neither Party is liable for delay or failure caused by events beyond reasonable control, including severe weather, fire, disaster, epidemic, labor disruption, war, civil disorder, government action, carrier failure, printer failure, platform outage, cyberattack, utility failure, or supply interruption. The affected Party will use reasonable efforts to mitigate and resume performance.

Payment for completed work, reserved inventory, noncancelable costs, and obligations reasonably capable of performance remain due.

Back to top ↑

7. Order of precedence

If accepted documents directly conflict, the following order controls only to the extent of that conflict:

1. signed amendment or change order; 2. placement order, accepted invoice, or project-specific terms; 3. applicable role-specific signed agreement; 4. this Legal Handbook; and 5. general website content or marketing material.

An email, oral statement, sales statement, or website page does not modify an accepted agreement unless it meets the written-modification requirements.

Back to top ↑

8. Changes to policies and agreements

EAF may update general policies prospectively. A published legal version is immutable. A material change requiring agreement is issued as a new version and presented for acceptance. Prior acceptance records remain preserved.

Back to top ↑

9. Assignment

A Participant may not assign a material agreement without EAF's written consent, except to a legitimate successor acquiring substantially all relevant business assets and assuming obligations in writing. EAF may assign to an affiliate, successor, or buyer of the relevant business, subject to applicable law.

Back to top ↑

10. Entire agreement, waiver, severability, and survival

The controlling documents form the entire agreement concerning their subject. A waiver must be written and applies only to the stated instance. If a provision is unenforceable, it will be limited or reformed to the minimum necessary while the remainder continues.

Payment, intellectual-property, confidentiality, archive, indemnification, liability, dispute, acceptance, credit-ledger, and provisions intended by nature to survive will survive termination.

Back to top ↑
Legal handbook

PART IV - ADVERTISER PROGRAM POLICIES

1. Role agreement and placement formation

Advertisers must separately accept the current Advertiser Agreement. Portal access permits creative preparation but does not create paid inventory. A paid placement is formed only through an accepted placement order or invoice, verified payment, and authorized EAF activation.

Back to top ↑

2. Term and automatic renewal disclosure

Unless project-specific terms clearly state otherwise, an advertiser placement has a 12-month initial term and successive 12-month automatic renewals. The Advertiser Agreement and placement record disclose the renewal date, price or pricing basis, cancellation deadline, and cancellation method.

Advertisers may stop a future renewal by sending written notice through portal Messages or to adam@eafmagazines.com. EAF will provide written confirmation. Notice must be received at least 30 days before renewal unless EAF agrees otherwise or law requires otherwise.

Back to top ↑

3. Advertising products and availability

Products may include Quarter Page, Half Page, Full Page, Two-Page Spread, Inside Cover, Photographer Gallery, directory profiles, design services, and project-specific options. Inventory, technical specifications, and availability vary.

Back to top ↑

4. Venue-specific placement and remedies

Placement is venue-specific unless a written order says otherwise. If a venue magazine ends, EAF may relocate remaining credits while preserving type and size. Open categories are used first when practical, but normal category limits may be overridden for a forced transition. Relocation or a comparable agreed placement is the remedy instead of a refund except where law requires otherwise.

Back to top ↑

5. Categories and exclusivity

EAF may manage category inventory. No exclusivity exists unless expressly granted in a signed order. Preferred-vendor status does not automatically create paid advertising or exclusivity.

Back to top ↑

6. Print-credit administration

An initial paid annual placement and each paid annual renewal add four print credits. Digital publication consumes no credit. One credit is used only when an included placement is part of a confirmed physical print order.

Voluntary transfers use complete sets of four, leave at least four credits with the original placement, preserve type and size, and require available category inventory and EAF approval. Temporary transferred placements do not automatically renew.

Back to top ↑

7. Advertiser materials and claims

Advertiser warrants it owns or may authorize Submitted Material and that claims, offers, testimonials, endorsements, prices, qualifications, and comparisons are truthful and substantiated. Advertiser will comply with advertising, intellectual-property, privacy, publicity, professional, and industry laws.

Back to top ↑

8. Design, revisions, proofs, and approval

Project-specific design terms control price and included revisions. Unless stated otherwise, EAF custom design includes two consolidated revision rounds. Additional work may require a change order.

Advertiser must review proofs. Approval authorizes use across compatible placements. EAF may return creative for changes. Unapproved creative may not be published.

Back to top ↑

9. Missed materials and deadlines

New or changed creative must arrive by the public submission deadline, normally 30 days before the applicable quarterly release. Late work is not guaranteed. If an existing active ad remains in a physical print order because updated creative was late, the placement consumes a credit.

Back to top ↑

10. Payment, cancellation, and forfeiture

Installments divide a fixed obligation and do not make it month-to-month. Stopping renewal does not cancel the current term or erase remaining credits. A request for immediate removal may require express forfeiture of remaining credits without refund. Removing a payment method, nonuse, creative deletion, or chargeback is not cancellation.

Back to top ↑

11. Negative balances

Only an authorized confirmed print inclusion may create a negative balance. A negative balance pauses or removes the placement from future inclusion until corrected. The ledger remains auditable.

Back to top ↑

12. No performance guarantee

EAF does not guarantee circulation, views, inquiries, leads, bookings, sales, revenue, rankings, audience demographics, publication date, print quantity, or return on investment.

Back to top ↑
Legal handbook

PART V - VENUE PROGRAM POLICIES

1. Role agreement and verification

Venues must separately accept the current Venue Participation Agreement. Signing submits the venue for review. A venue is not active, public, sellable, or available to advertisers until EAF verifies, countersigns, and activates it.

Back to top ↑

2. Term and automatic renewal disclosure

The Venue Participation Agreement begins on EAF's countersignature date, has a 12-month initial term, and automatically renews for successive 12-month terms. Written nonrenewal is required at least 90 days before the current term ends.

Back to top ↑

3. Venue information and accuracy

Venue must provide accurate current information, including material pricing, policies, capacities, packages, restrictions, contacts, and operations. Venue is responsible for factual review before approval.

Back to top ↑

4. Venue assets and permissions

Venue warrants it owns or may authorize Submitted Material and has obtained required photographer, creator, trademark, property, and likeness permissions.

Back to top ↑

5. Editorial authority and AI

EAF retains reasonable design and editorial control and may use AI-assisted tools as disclosed in Part II. Venue remains responsible for reviewing facts and approvals.

Back to top ↑

6. Production, review, and approval

Venue will provide timely consolidated feedback. Approval authorizes digital publication and reasonable promotional use. Material changes after approval may be scheduled for a later release.

Back to top ↑

7. Digital-first model and print threshold

EAF may launch an approved digital edition before printing. Physical print eligibility begins at 12 qualifying sold advertising pages:

  • Quarter Page: 0.25 page;
  • Half Page: 0.5 page;
  • Full Page: 1 page;
  • Two-Page Spread: 2 pages;
  • Inside Cover: 1 page; and
  • Photographer Gallery: 1 page.

Inside Cover and Photographer Gallery count toward 12 but remain outside the 25-page standard advertising pool. A Photographer Gallery's production length does not change its one-page threshold value.

Back to top ↑

8. Distribution commitment

Venue will actively share digital and printed editions through reasonably available inquiry, tour, booking, website, email, social, QR, event, and on-site channels. Intentional material obstruction may be breach.

Back to top ↑

9. Advertising independence

EAF controls advertiser contracting, pricing, inventory, payment, and placement. Venue may recommend preferred vendors or raise documented concerns but does not receive final control unless a signed term says otherwise.

Back to top ↑

10. Printed inventory and sharing assets

EAF determines reasonable print quantities and may provide digital links, embeds, QR codes, badges, social graphics, or flyers. Availability and format vary. No volume is guaranteed.

Back to top ↑

11. Closure, ownership change, and transition

Venue must promptly report closure, sale, ownership change, rebranding, or discontinued wedding operations. Venue will reasonably cooperate while EAF relocates advertisers, concludes distribution, archives editions, and fulfills outstanding commitments.

Back to top ↑

12. Suspension and termination

EAF may suspend or terminate for breach, fraud, illegality, safety, rights, reputation, legitimacy, noncooperation, or distribution concerns. Existing archive, advertiser-transition, payment, and survival provisions remain applicable.

Back to top ↑
Legal handbook

PART VI - INTELLECTUAL PROPERTY, CONTENT OWNERSHIP, AND LICENSING

1. EAF property

EAF owns its preexisting and independently developed branding, publication names, page architecture, copy, layouts, templates, design systems, forms, questionnaires, workflows, pricing structures, source files, production methods, software, and original content, subject to third-party rights.

Back to top ↑

2. Submitted Material and license

Participants retain ownership of preexisting Submitted Material. They grant EAF a nonexclusive, worldwide, royalty-free license to host, store, copy, edit, adapt, crop, resize, combine, reproduce, publish, display, distribute, promote, archive, and create production derivatives as reasonably necessary for accepted Services.

The license continues for previously published, printed, distributed, archived, evidentiary, and promotional uses even after an account or placement ends, subject to applicable law and written restrictions accepted by EAF.

Back to top ↑

3. Permissions and releases

Participants warrant that they have necessary copyright, trademark, publicity, privacy, property, model, photographer, music, and other permissions. EAF may request documentation and may remove questionable material.

Back to top ↑

4. Editing and adaptation

EAF may make reasonable editorial, design, formatting, accessibility, technical, grammar, cropping, color, layout, and production changes. Material factual or claim changes should receive reasonable review when practical.

Back to top ↑

5. Final designs and source files

After full payment, an advertiser receives a nonexclusive perpetual license to use its final approved custom advertisement for ordinary business marketing. Editable files, source files, unused concepts, templates, stock source files, fonts, and reusable EAF components are not included unless a signed term says otherwise.

Back to top ↑

6. Third-party assets

Stock, fonts, software, templates, and other licensed assets remain subject to their original terms. EAF cannot grant rights it does not own.

Back to top ↑

7. Names, likenesses, testimonials, and trademarks

A Participant submitting names, likenesses, testimonials, reviews, or trademarks warrants authority and required disclosures. EAF may require substantiation, consent, or modification.

Back to top ↑

8. Archives and post-term rights

EAF may retain and display publication archives, historical directory records, proof evidence, and prior editions. EAF may remove or update current content without being able to retrieve every printed, downloaded, cached, shared, or archived copy.

Back to top ↑

9. Restrictions

Participants may not resell EAF templates, remove ownership notices, distribute source files, claim ownership of EAF systems, or use delivered work to create a confusingly similar competing publication system without permission.

Back to top ↑

10. Copyright complaints and DMCA

Copyright notices should identify the work, allegedly infringing material and location, complainant contact information, a good-faith statement, an accuracy and authority statement under penalty of perjury, and a physical or electronic signature. Send notices to adam@eafmagazines.com with subject Copyright Notice.

EAF may remove or restrict material and notify the submitting Participant. Valid counter-notices must contain legally required information. EAF may terminate repeat infringers where appropriate.

Back to top ↑

11. Confidentiality

Nonpublic business, credential, unpublished production, security, and customer information identified or reasonably understood as confidential must be protected and used only for the relationship. This does not cover information lawfully public, already known without duty, independently developed, or lawfully received from another source.

Back to top ↑
Legal handbook

PART VII - PAYMENTS, BILLING, RENEWALS, REFUNDS, AND COLLECTIONS

1. Contract price and payment schedule

The accepted invoice, placement order, or project-specific terms state price, taxes, discounts, schedule, and approved services. A general website price is not a binding quote for unavailable inventory or custom work.

Back to top ↑

2. Deposits and installment plans

Deposits may reserve inventory or begin work. Installments divide a fixed obligation and do not create a month-to-month right to cancel unless expressly stated.

Back to top ↑

3. Automatic payments versus automatic renewal

Authorization to charge installments for an existing fixed term differs from agreement to a new renewal term. Each must be disclosed and authorized as required.

Back to top ↑

4. Automatic-renewal compliance

Before acceptance, EAF will clearly disclose automatic renewal, renewal interval, expected price or pricing basis, deadline to stop renewal, cancellation method, and effects on credits or services. EAF will retain affirmative consent evidence.

EAF accepts written nonrenewal notice through portal Messages or at adam@eafmagazines.com and will provide written confirmation. EAF will provide any reminder, acknowledgment, or cancellation mechanism required by applicable law.

Back to top ↑

5. Payment authorization and Stripe

Payment may be processed by Stripe. A Participant authorizes only the charges stated in the accepted payment arrangement. EAF may retain transaction status and limited identifiers but generally does not store full card information.

Back to top ↑

6. Fees, taxes, and delivery costs

Participants are responsible for disclosed taxes, processing consequences, shipping, delivery, special production, rush, change-order, returned-payment, and collection costs where lawful and agreed.

Back to top ↑

7. Billing disputes

Billing concerns must be raised promptly with enough detail to investigate. The undisputed portion remains due. A chargeback is not cancellation and may suspend performance while investigated.

Back to top ↑

8. Additional work

Work outside scope requires a written change order, new invoice, or project-specific approval. EAF is not required to begin added work before acceptance and payment.

Back to top ↑

9. Late or failed payments

EAF may pause work, withhold delivery, suspend placement, remove digital visibility, decline printing, or require reliable payment for past-due accounts. Reasonable lawful collection costs may be added.

Back to top ↑

10. Refunds and nonrefundable amounts

Except where law requires otherwise or EAF agrees in writing, payments are nonrefundable after inventory is reserved, work begins, content or design is created, digital publication occurs, printing is ordered, third-party costs are incurred, or EAF materially performs.

Credits have no cash value. A venue transition is handled through relocation, transfer, extension, digital continuation, or another comparable agreed remedy rather than refund.

Back to top ↑

11. Make-goods

For a verified EAF production error materially affecting a paid placement, EAF may correct digital content, include corrected material in a later eligible edition, extend placement, restore a credit, or provide another reasonable make-good. Unless law requires otherwise, that is the exclusive production remedy.

Back to top ↑

12. Collections

EAF may use lawful collection remedies for unpaid obligations. The prevailing Party may recover attorney fees only where an agreement or applicable law authorizes them.

Back to top ↑
Legal handbook

PART VIII - MAGAZINE PRODUCTION, PRINTING, AND DISTRIBUTION

1. Production model

EAF may use internal staff, contractors, software, AI-assisted tools, printers, carriers, and other providers. EAF remains responsible for coordinating accepted deliverables but does not control independent outages or force-majeure events.

Back to top ↑

2. Digital-first delivery

An approved magazine may launch digitally before physical printing. Digital releases may be updated more frequently than printed editions.

Back to top ↑

3. Print threshold and capacity

Physical print eligibility begins at 12 qualifying sold pages using the values in Part V. Standard advertising has a 25-page capacity pool. Inside Cover and up to three Photographer Galleries are separate capacity pools but count as one page each toward the 12-page threshold.

Back to top ↑

4. Print-credit deduction

When an authorized admin confirms a physical print order, the system deducts exactly one credit from every included placement. The action must be auditable and protected against duplicate deductions. A later distribution-status update does not deduct another credit.

Back to top ↑

5. Production schedules and delays

Schedules are estimates unless expressly guaranteed. EAF may adjust a release for late material, printer availability, proof corrections, shipping, demand, safety, or other production needs.

Back to top ↑

6. Proofs and corrections

Participants must review facts and content. EAF will use reasonable efforts to correct verified EAF errors. Minor print, color, trim, crop, binding, paper, or device-display variation is not necessarily a defect.

Back to top ↑

7. Shipping, risk, and delivery

Delivery times and carrier performance are estimates. EAF may replace damaged or materially defective inventory when a timely documented claim permits a printer or carrier remedy.

Back to top ↑

8. Distribution

Venues and other distribution partners control many real-world handoffs. EAF does not guarantee every copy is displayed, delivered, read, retained, or viewed by a unique couple.

Back to top ↑

9. Publication changes and discontinuation

EAF may adjust names, formats, providers, schedules, quantities, page order, or production methods. If a venue magazine is discontinued, affected advertiser remedies follow the Advertiser Agreement and Part IV.

Back to top ↑
Legal handbook

PART IX - DISCLAIMERS, LIABILITY, INDEMNIFICATION, AND DISPUTE RESOLUTION

1. No business or publication guarantee

EAF makes no guarantee of inquiries, bookings, leads, sales, revenue, traffic, rankings, reach, audience, circulation, placement performance, advertiser participation, venue participation, print timing, quantity, or profitability.

Back to top ↑

2. Third-party businesses

EAF does not control independent venues, advertisers, directory businesses, printers, carriers, payment providers, couples, or other third parties. Listing, advertising, preferred status, or publication is not a warranty, endorsement, or guarantee of licensing, safety, quality, availability, or results.

Back to top ↑

3. Disclaimer of warranties

To the fullest extent permitted by law, Services are provided as available and without implied warranties not expressly stated, including merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted operation, or error-free performance. Rights that cannot legally be waived remain unaffected.

4. Limitation of liability

To the fullest extent permitted by law, EAF is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost data, lost opportunities, reputational harm, or third-party claims arising from a Service.

EAF's aggregate liability concerning a paid product will not exceed the amount paid to EAF for the specific product giving rise to the claim during the 12 months before the event. For a no-fee venue relationship, aggregate liability will not exceed $100. These limits do not apply where prohibited by law or to liability that cannot lawfully be limited.

5. Participant indemnification

A Participant will defend, indemnify, and hold EAF and its owners, staff, contractors, and affiliates harmless from third-party claims, losses, liabilities, and reasonable costs arising from the Participant's Submitted Material, products, services, claims, rights violations, unlawful conduct, breach, or lack of authority.

EAF will provide reasonable notice and cooperation. The indemnifying Participant may not settle a claim imposing fault, payment, admission, or obligation on EAF without EAF's written consent.

6. Informal dispute resolution

Before filing a lawsuit, a Party will send written notice describing the dispute, material facts, requested remedy, and supporting records. The Parties will attempt good-faith informal resolution for at least 30 days unless urgent injunctive relief, a filing deadline, small claims, or another stated exception applies.

Back to top ↑

7. Mandatory good-faith mediation

If unresolved, the Parties will attempt nonbinding good-faith mediation in El Paso County, Colorado, or remotely by agreement, before ordinary litigation. The Parties will share mediator fees equally unless agreed otherwise.

Back to top ↑

8. Litigation and exceptions

After the required process, litigation may proceed. A Party may seek temporary injunctive relief, protect intellectual property or confidential information, respond to government action, meet a filing deadline, or use eligible small claims without completing mediation first when reasonably necessary.

Back to top ↑

9. No mandatory predispute arbitration

No mandatory arbitration applies unless the Parties separately agree in writing after a dispute arises.

Back to top ↑

10. Governing law and venue

Colorado law governs without regard to conflict rules. Exclusive venue for litigation is a state court in El Paso County, Colorado, or the federal court serving El Paso County, except where applicable law requires otherwise.

Legal handbook

PART X - LEGAL NOTICES, ELECTRONIC ACCEPTANCE, AND FINAL PROVISIONS

1. Notice to EAF

Legal, breach, cancellation, nonrenewal, privacy, and dispute notices should be sent to adam@eafmagazines.com and through the applicable authenticated portal method when available. A second reliable method should be used for material disputes when reasonably available.

Back to top ↑

2. Notice to a Participant

EAF may send notice to the portal, accepted email, business address, or other current contact method. Participants must keep contact information current.

Back to top ↑

3. Receipt

Electronic notice is received when delivered without a failure notice or when posted to an authenticated account with a corresponding notification, subject to applicable law. Postal or courier notice is received on documented delivery or refusal.

Back to top ↑

4. Cancellation and nonrenewal requests

Advertisers may submit written nonrenewal notice through portal Messages or to adam@eafmagazines.com at least 30 days before renewal. Venues may use those same written methods at least 90 days before the current term ends. EAF will record the request and provide written confirmation.

Stopping payment, removing a payment method, deleting content, inactivity, or oral notice alone is not cancellation or nonrenewal.

Back to top ↑

5. Electronic acceptance

A checkbox, typed signature, Sign and Accept action, accepted invoice, accepted proposal, order submission, or another clearly disclosed affirmative electronic action may evidence acceptance. No checkbox will be preselected.

Back to top ↑

6. Authority and counterparts

Each signer represents authority. Documents may be signed electronically and in counterparts, which together form one agreement.

Back to top ↑

7. No oral modification

Material modifications must be in a signed amendment, accepted change order, placement order, or other written record clearly intended to modify the agreement.

Back to top ↑

8. Interpretation

Headings aid navigation. "Including" means including without limitation. Singular includes plural when context requires. A drafting ambiguity is not automatically interpreted against one Party merely because it prepared the document.

Back to top ↑

9. Severability and reformation

An invalid provision will be limited or reformed to the minimum extent necessary, and the remainder will continue. A court should preserve the Parties' lawful intent where possible.

Back to top ↑

10. Contact and acceptance

Questions may be sent to adam@eafmagazines.com. Acceptance records identify the exact version agreed to.
